1. Acceptance of Terms
By accessing or using VetDesk's services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our services. We reserve the right to modify these Terms at any time, and your continued use of our services constitutes acceptance of any changes.
2. Description of Service
VetDesk provides AI-powered veterinary clinic management software, including AI booking systems and animal records management. Our services are designed to streamline clinic operations and improve efficiency. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice.
3. Account Registration and Security
To use our services, you must create an account and provide accurate, complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
- Ensuring your account information remains current and accurate
You must be at least 18 years old and have the authority to enter into this agreement on behalf of your veterinary practice.
4. Subscription and Payment Terms
Subscription Plans: We offer Puppy Plan ($497 setup + $297/month) and Working Dog Plan ($497 setup + $397/month), plus optional add-ons.
Setup Fee: The one-time setup fee of $497 is non-refundable once implementation begins.
Billing: Monthly subscriptions are billed on the same day each month. You authorize us to charge your payment method automatically.
Price Changes: We may change our pricing with 30 days' notice. Continued use after price changes constitutes acceptance.
Failed Payments: If payment fails, we may suspend your account until payment is received. Repeated payment failures may result in account termination.
5. Cancellation and Refunds
You may cancel your subscription at any time with 30 days' written notice. Cancellation takes effect at the end of your current billing period. We offer a 30-day money-back guarantee on monthly subscription fees only if you cancel before project implementation begins. Once we start configuring your system, customizing workflows, or importing data, all fees (setup and subscription) become non-refundable. No refunds are provided for partial months or unused services. Upon cancellation, you will have 30 days to export your data before account deletion.
6. SMS Text Messaging Terms
By opting in to receive SMS text messages, you agree to the following terms:
- Consent: You consent to receive recurring automated informational text messages from VetDesk on behalf of your veterinary clinic
- Message Types: Messages may include appointment confirmations, reminders, callback requests, and service-related notifications
- Message Frequency: Message frequency varies based on your appointment schedule and clinic communications
- Message & Data Rates: Standard message and data rates may apply as determined by your mobile carrier
- Opt-Out: You may opt out at any time by replying STOP to any text message. You will receive a confirmation message upon opt-out
- Help: For assistance, reply HELP to any text message or contact your veterinary clinic directly
- Carrier Liability: We are not liable for delayed or undelivered messages due to carrier issues or network problems
- Mobile Number Changes: You are responsible for updating your mobile number if it changes
We do not charge for SMS services, but your mobile carrier's message and data rates may apply. Contact your carrier for pricing details.
7. Acceptable Use Policy
You agree not to:
- Use our services for any illegal purpose or in violation of any laws
- Attempt to gain unauthorized access to our systems or other users' accounts
- Interfere with or disrupt the integrity or performance of our services
- Upload viruses, malware, or any malicious code
- Reverse engineer, decompile, or attempt to extract source code
- Use our services to send spam or unsolicited communications
- Resell or redistribute our services without written permission
- Remove or alter any proprietary notices or labels
Violation of this policy may result in immediate account suspension or termination.
8. Data Ownership and Usage Rights
You retain all ownership rights to your data, including animal records, client information, and appointment data. We do not claim ownership of your content. By using our services, you grant us a limited license to host, store, and process your data solely to provide our services. You are responsible for the accuracy and legality of data you input into our system. You must have appropriate rights and permissions to upload any data to our platform.
9. Data Security and Compliance
We implement industry-standard security measures to protect your data and maintain SOC 2 Type II certification. You are responsible for ensuring your use of our services complies with all applicable regulations and veterinary industry standards. We implement appropriate safeguards to protect sensitive information, including AES-256 encryption, role-based access controls, and comprehensive audit logs.
10. Service Level and Uptime
We strive to maintain 99.9% uptime for our services. Scheduled maintenance will be announced in advance when possible. We are not liable for downtime caused by circumstances beyond our reasonable control, including third-party service failures, natural disasters, or network issues. In the event of extended outages, we may provide service credits at our discretion.
11. Intellectual Property
All intellectual property rights in our services, including software, designs, trademarks, and content, belong to VetDesk or our licensors. You may not copy, modify, distribute, or create derivative works without our written permission. Our trademarks and logos may not be used without prior written consent.
12. Warranties and Disclaimers
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOU USE OUR SERVICES AT YOUR OWN RISK.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FRONT DESK RELIEF SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW LIMITATION OF LIABILITY, SO THESE LIMITATIONS MAY NOT APPLY TO YOU.
14. Indemnification
You agree to indemnify and hold harmless VetDesk, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of our services, violation of these Terms, or infringement of any third-party rights.
15. Dispute Resolution and Governing Law
These Terms are governed by the laws of the United States, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules. You waive any right to participate in class action lawsuits. If arbitration is not enforceable, disputes shall be resolved in the state or federal courts located in the United States.
16. Termination
We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or fail to pay fees. Upon termination, your right to use our services ceases immediately. You remain liable for all charges incurred before termination. We will provide reasonable opportunity to export your data upon termination, subject to legal retention requirements.
17. Miscellaneous
Entire Agreement: These Terms constitute the entire agreement between you and VetDesk regarding our services.
Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
Waiver: Our failure to enforce any right or provision does not constitute a waiver.
Assignment: You may not assign these Terms without our consent. We may assign our rights and obligations.
Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control.
